TERMS AND CONDITIONS OF USE FOR USERS
0. Preamble and identification of the service provider
The services covered by these General Terms and Conditions of Use are provided by Pausetiv Srl, a company incorporated under Italian law, registered with the Companies Register under tax code and VAT number IT13504440960, with registered office in Milan (20123-MI), Corso Genova No. 27 (hereinafter, "PAUSETIV" or the "Company").
This preamble forms an integral and essential part of the General Terms and Conditions of Use of the PAUSETIV website set out below.
1. Introduction and acceptance
1.1 These General Terms and Conditions of Use for Users (hereinafter, the "Terms") govern the use of the PAUSETIV website (the "Site"), owned by Pausetiv S.r.l., through which Pausetiv offers innovative services supporting women's health, with a specific focus on the personalized management of menopause and its related phases.
The Platform allows users to:
access informational content and educational resources on menopause;
complete questionnaires aimed at collecting health and wellbeing data;
upload documentation useful for the assessment of their state of health;
access the "PauseTest" service to assess the wellbeing of their body;
receive personalized treatment plans, prepared by the Professionals, each within their own area of competence;
book and attend telemedicine consultations with physicians and other specialists (gynecologists, endocrinologists, dietitians, nutritionists, counselors);
communicate with the Professional through a follow-up chat between one Appointment and the next, for non-urgent clarifications and updates;
keep track of their symptoms over time through integrated digital tools.
Through these services, Pausetiv aims to facilitate access to a comprehensive, multidisciplinary and person-centered pathway focused on the individual and their wellbeing, intended to improve the quality of life of women in menopause by promoting awareness, prevention and facilitated access to personalized care.
The services are provided by qualified Professionals, each within their own area of competence, within a system that facilitates the meeting between Users and Professionals and makes it possible to identify and select the Professional, and to manage bookings and payments.
1.2 Access to and use of the Site entail full acceptance of these Terms. Before using the Site, please read these Terms carefully. For paid Appointments, acceptance is finalized exclusively upon payment for the service through the Stripe platform. For any free services offered (e.g., the first introductory session with the counselor), the booking is finalized upon confirmation of the Appointment.
2. Definitions
2.1 In this document, the following terms shall have the meaning specified below:
"Site" or "Platform": means the PAUSETIV website, accessible at https://www.pausetiv.com/en, operated by PAUSETIV.
"Services": means all services offered by the Professionals through the Site.
"Professional": the natural person made available through the Platform for the provision of the Services, in particular: (i) medical specialists, including gynecologists and endocrinologists; (ii) nutritionist biologists and dietitians, registered with their respective professional Order or Register; and (iii) counselors.
"User": means any natural person who accesses the Site to make use of the Services of the digital platform: educational content, digital tools for symptom tracking, wellbeing support, and access to the services of specialized Professionals.
"Appointment": any consultation bookable by the User with a Professional through the Platform, in the form of a medical visit, a nutritional consultation, or a counseling session, depending on the type of Professional selected.
3. Nature of the service
3.1 PAUSETIV, through the Site, offers access to a qualified network of Professionals. To access the Services and the information on the Professionals, the Site requires registration by Users.
3.2 The Site's role is to facilitate the meeting between Users and Professionals, through the selection of professionals operating in the field of the menopausal transition, who will be accessible to users via the digital platform, with its functions for booking and managing appointments and for collecting data — including health-related data — relevant to the professionals for the purpose of providing their respective Services.
3.3 Appointments are booked through the Platform: at "app.pausetiv.com/patient/booking" the User views the Professionals' availability and books the Appointment. The management of availability (calendar) and the conduct of the video consultation are entrusted to an integrated third-party platform, through which the Professional sets their availability and provides the service via video call. Two distinct contractual relationships arise from the use of the Platform: (i) between the User and the Professional — the sole party responsible for their professional activity pursuant to Section 12 — concerning the Services; (ii) between the User and PAUSETIV, concerning access to the functionalities of the Platform.
3.4 The Platform does not constitute an emergency or urgent-care service. Services are provided exclusively by appointment and do not replace emergency healthcare services or direct access to healthcare facilities. In the event of an emergency, urgent situation, or acute symptoms, the User must immediately contact the emergency services.
4. Services offered
4.1 The Site allows the User to consult the Professionals' profiles, access information on the available Services and their costs, and proceed with booking Appointments — either individually or, where provided, in an integrated arrangement.
4.2 The Site also provides access to the "PauseTest" functionality which, through the completion of an online questionnaire by the User, provides informational and educational content useful for assessing one's state of wellbeing and lifestyle choices. It is specified that the PauseTest must not be used to make clinical or therapeutic decisions, does not constitute a medical device, and may not in any way replace the opinion, diagnosis, or consultation of a healthcare Professional.
4.3 The Site offers Users informational support and facilitated access to personalized treatment plans for the management of menopause through a qualified network of Professionals specialized in various areas of the health and wellbeing of women in menopause, including but not limited to:
Professionals in women's health specialized in the management of menopause (physicians, gynecologists, endocrinologists);
Nutrition Professionals (dietitians, nutritionists);
Counselors, who offer sessions of support and guidance for psychological wellbeing (counseling does not constitute a healthcare service);
Other health specialists.
4.4 The services are provided online, via videoconference on an integrated third-party platform.
4.5 The User has the option to express preferences for specific approaches and methodologies during the Appointment with the Professional. During the Appointment, the User may also receive detailed information on the various approaches and request clarification on the methodology best suited to their needs. Such clarifications may also be requested after the Appointment, through the chat with the Professional available in their personal area, on the terms and within the limits set out in Section 8.4.
4.6 The Professional, within the scope of their professional autonomy, assesses the appropriateness of the approach to the User's needs, provides clear explanations of the proposed method, and may suggest alternative approaches where they consider them more effective for the specific case.
5. User obligations
5.1 By accepting these Terms, the User declares and warrants that they are of legal age. Where the Services are booked for the benefit of third parties, the User warrants that they are entitled to make the booking and to enter the relevant data.
5.2 During the booking process, the User is required to provide truthful and accurate information about their identity and their state of health. The entry of false or fictitious data, or the use of third parties' data without specific authorization, is not permitted.
5.3 PAUSETIV relies on the truthfulness of the information provided by the User and reserves the right to verify it through the Professional, within the scope of the latter's autonomy, by assessing the information entered by the User in the questionnaires and the documentation uploaded. If untruthful information is detected, PAUSETIV may deny or suspend access to the Site.
5.4 To enable the correct issuance of tax documents, the User undertakes to provide accurate and complete tax information, assuming responsibility for any errors or inaccuracies in the information provided.
6. Choice of the Professional
6.1 The User selects the Professional from those available on the Platform, consulting the relevant profile and taking into account their own personal preferences. The choice is made independently by the User, without any discretionary intervention by PAUSETIV as to the content of the Services. In the event of changes, the User may contact PAUSETIV's support channels to change the choice of Professional.
6.2 The User acknowledges and accepts that PAUSETIV assumes no liability in relation to the quality, adequacy, effectiveness, or outcome of the Services provided by the Professional, nor may it be held liable for any damages, direct or indirect, arising from the activity carried out by the Professional. It is understood that any dispute, claim, or complaint relating to such activity must be addressed exclusively to the Professional who performed the service.
7. Registration, booking, and payment process
7.1 The registration and booking process is structured in the following stages:
a) to book an Appointment with a Professional, the User registers with the Platform and is asked to accept these Terms and Conditions, to confirm that they have read PAUSETIV's Privacy Notice concerning the User, and to give consent to the processing of personal data where the granting of consent is necessary, proceeding to enter their identifying and authentication data;
b) once registration is completed, the User receives an e-mail inviting them to confirm the e-mail address provided in order to verify their identity;
c) following e-mail verification, the User can access their personal area, from which they may, among other things, book an Appointment with a Professional or book a free call with the PAUSETIV team;
d) the free call consists of a call with the PAUSETIV team to receive clarifications and assistance regarding the Service; it does not constitute an Appointment with a Professional nor a healthcare service;
e) from their personal area, the User may access the PauseTest functionality, available for a fee according to the rates indicated on the Platform; completion of the PauseTest is not a necessary condition for booking an Appointment;
f) to book an Appointment, the User selects the type of service from those available on the Platform and views the list of available Professionals, each with a brief profile description;
g) once the Professional has been selected, the User accesses the relevant profile, which sets out the extended profile, the Professional's privacy notice — available for consultation and download pursuant to Section 11.4 — and the booking calendar, structured on three levels (month, available days, time slots); having identified the date and time, the User confirms the selection using the dedicated command;
h) having selected the date and time, the User enters, within the same interface, the data necessary for the booking and invoicing and, for paid Appointments, makes the payment via Stripe; the booking is subject to acceptance of the terms and privacy notice of the third-party booking platform;
i) following payment, the User is redirected to a screen confirming the booking and presenting the tasks to be completed before the Appointment (completion of the questionnaire and signing of the informed consent to telemedicine). The User also receives a confirmation e-mail with the Appointment details, the connection link, and instructions for the informed consent, the completion of the questionnaire, and the uploading of documents;
l) before the Appointment, the User completes the required tasks: they complete the questionnaire (medical or nutritional, where provided depending on the Professional selected); they sign the informed consent to telemedicine, which is necessary to initiate and carry out the consultation and revocable by writing to hello@pausetiv.com; they may also upload useful documents to their personal area, which the Professional may consult before the Appointment;
m) in the event of a need to cancel the appointment, the refund process is handled according to the arrangements set out in Section 9 "Cancellation policies";
n) the User is responsible for the safekeeping and use of their payment credentials. The disclosure of credentials to third parties takes place under the User's sole responsibility, and the User shall be held responsible for all transactions completed by third parties to whom they have granted the use of their credentials;
p) such responsibility continues until the User expressly notifies Stripe of the revocation of the authorization for transactions completed by that specific person. To be considered valid, such revocation must be communicated to Stripe in advance;
q) the User is therefore advised not to share their payment credentials and, where sharing is necessary, to carefully monitor their use, immediately revoking the authorization in the event of any doubt as to improper use.
8. Conduct of Appointments and care pathways
8.1 The conduct of appointments and care pathways is structured as follows:
a) the Appointment takes place via video consultation. At the end, the Professional draws up the medical report and makes it available in the User's personal area, of which the User receives notice by e-mail. The contents of the medical report are defined by the Professional in the exercise of their professional autonomy and responsibility;
b) where the Professional requests additional tests, the User uploads the results to their personal area, where the Professional may consult them;
c) subsequently, the User receives an e-mail inviting them to access their personal area to view the diagnostic report, accompanied by any prescriptions and recommendations made by the Professional;
d) within three months of the date of the medical report, where they consider it appropriate on the Professional's advice, the User may book a follow-up consultation, included in the price of the initial visit, to re-discuss the tests or clarify any doubts that have arisen; the follow-up consultation has an indicative duration of 10/15 minutes and may be booked via a dedicated link. Its purpose is, by way of example, to: a) re-discuss the situation in light of the tests and receive an updated medical report; b) clarify any doubts and ask questions after receiving the medical report or starting therapy; c) address issues or doubts that may arise following a new therapy;
e) the timing of the follow-up visit is indicated by the Professional via a dedicated link, communicating to the User by e-mail the availability of the Professional's calendar so that the appointment can be scheduled. It is specified that, for consultations with the gynecologist and the endocrinologist, the follow-up visit must take place within six months of the date of the test report; after that period, the medical report will no longer be considered valid for assessment purposes and the User must necessarily proceed to book a new initial visit;
f) between one Appointment and the next, the User has access to the chat for follow-up with the Professional. Where the request cannot be handled via chat, the Professional may direct the User to the follow-up consultation referred to in point d) or to the follow-up visit referred to in point e).
8.2 The nutritional pathway is structured as follows:
a) the Appointment takes place via video consultation. At the end, the Professional prepares and makes available in the User's personal area the nutritional plan, of which the User receives notice by e-mail. The contents of the plan are defined by the Professional in the exercise of their professional autonomy and responsibility; PAUSETIV provides only the tool;
b) the User may upload useful documents to their personal area, which the Professional may consult;
c) between one Appointment and the next, the User has access to the chat for follow-up with the Professional;
d) the User may book any follow-up consultations according to the timing agreed with the Professional, without expiry constraints.
8.3 The counseling pathway is structured as follows:
a) the pathway begins with a free introductory session, of an indicative duration of 30 minutes, during which the counselor and the User outline together the most suitable support pathway;
b) following the introductory session, the User may book a single session or a package of sessions, according to the rates indicated on the Platform; the provisions concerning integrated plans apply to packages.
8.4 Chat
a) Between one Appointment and the next, the Platform makes available to the User a chat to communicate with the Professional. The chat is an asynchronous communication channel, intended for clarifications and updates relating to the pathway already agreed, and does not provide for an immediate response: the Professional replies, as a rule, within three business days;
b) the chat is activated after the first completed Appointment with the Professional;
c) the chat is not an emergency or urgent-care channel: the provisions of Section 3.4 apply;
d) the chat does not constitute clinical documentation. Any clinically relevant indication is formalized by the Professional in the medical report, made available in the User's personal area. PAUSETIV provides the tool and does not access the content of the conversations;
e) the exchange of documents takes place through the User's personal area pursuant to Sections 7 and 8, and not through the chat;
f) the User undertakes not to share private contact details through the chat and not to move the communication outside the Platform;
g) for the arrangements concerning the retention of messages, reference is made to the privacy notice provided by the Professional.
9. Cancellation policies
9.1 For any change to the appointment, a minimum notice of 24 hours before the scheduled time is required. Changes are subject to the Professional's availability and may result in variations in the price of the Service.
9.2 The management of cancellations and related refunds takes place exclusively through PAUSETIV's support channels by contacting the e-mail: hello@pausetiv.com. In the event of cancellation with more than 24 hours' notice, the User is entitled to a full refund or the possibility of changing the appointment. For cancellations made with less than 24 hours' notice, no refund is provided.
9.3 In the case of the purchase of integrated plans, the User retains the option to cancel individual services in compliance with the same notice conditions set out in the preceding paragraphs. In such a case, the booking remains fully valid and effective for the remaining services not subject to cancellation.
9.4 In the event that the Professional is unable to provide the service, the User is entitled to a full refund regardless of notice.
10. Operational management and payments
10.1 Payment Processing
10.1.1 The processing of all payments takes place through the Stripe system. Each transaction is subject to the Platform's security policies, thereby ensuring the utmost security in payment operations.
10.2 Technical Support
10.2.1 For any matter relating to appointments (bookings, changes, cancellations, rescheduling), Users may contact the e-mail hello@pausetiv.com.
11. Protection of personal data and privacy
11.1 Processing of personal data
11.1.1 This website operates exclusively as an informational showcase and point of access to the services provided by the Professionals.
11.2 Privacy notices
11.2.1 For details concerning the processing of personal data, reference is made to the specific notices provided by each Data Controller.
11.3 Roles and responsibilities in processing
11.3.1 In accordance with the General Data Protection Regulation (GDPR), it is specified that:
a) PAUSETIV acts as data controller solely for the identifying/contact data and browsing data on its own site;
b) the Professional selected by the User is the independent data controller of the data processed for the purposes of their service (including, where processed, health-related data), as the sole party responsible for the professional service;
c) PAUSETIV acts as data processor on behalf of the Professional, who remains the data controller of the data of their own patients, for the purpose of providing the service;
d) Stripe acts as an independent data controller for the processing of payment data, according to its own policies.
11.4 Booking and access to the notices
11.4.1 During the booking process, the privacy notice of the selected Professional is made available and can be consulted by the User — including in downloadable format — in the Professional's profile, before confirmation of the booking. The User may also consult at any time PAUSETIV's privacy notice available on the Site, as well as the notices of any third parties involved.
12. Liability and limitations
12.1 PAUSETIV assumes no liability for the professional qualifications of the Professionals or for the quality of the Services provided by the Professionals.
12.2 PAUSETIV assumes no liability for the specific performance of the professional services.
12.3 The User expressly acknowledges that the professional relationship is established directly with the Professional and that PAUSETIV does not intervene in the professional relationship. The services are provided under the exclusive responsibility of the Professional.
12.4 PAUSETIV's maximum liability towards the User, for any cause whatsoever, may in no case exceed the total amount paid by the User in the 12 months preceding the event giving rise to the liability. In no event shall PAUSETIV be liable for indirect or consequential damages, loss of profit, loss of business opportunities, or damage to image or reputation.
12.5 The services of the Site are provided "as is" and "as available", without warranties of any kind, express or implied. In particular, PAUSETIV provides no warranty as to the continuous or uninterrupted functioning of the Site, the absence of errors or defects in the software, compatibility with all devices or browsers, the degree of user satisfaction, or the achievement of specific results.
12.6 PAUSETIV, as the software provider, disclaims all liability for any regulatory violations arising from the improper use of the Site by the Professional. The collection of informed consents, the processing of Users' personal data and their processing outside the Site, as well as the clinical risk associated with the services provided, are the exclusive responsibility of the Professional. PAUSETIV further disclaims all liability for any fraudulent and unlawful use that may be made by third parties of credit cards, cheques, and other means of payment.
13. Intellectual and industrial property rights
13.1 PAUSETIV is the owner of, or holds the relevant licenses to, the intellectual property exploitation rights in the Site and any content connected to it. The Site, its architecture, source code, underlying algorithm, graphical interfaces, as well as the content and the word and figurative marks, are the exclusive property of PAUSETIV.
13.2 Access to and use of the Site do not entail any transfer of rights to the User. Users are not authorized to carry out reverse engineering, decompile, disassemble, or modify the Site's software, nor to copy, modify, or alter the content, or to use robots, spiders, or other automated means to access the Site.
13.3 Where the User sends or publishes information on the Site, they warrant that they have the right to do so freely, without infringing intellectual or industrial property rights, trade secrets, or other third-party rights, and without providing confidential information that may cause harm.
13.4 All trademarks, trade names, and distinctive signs present on the Site are the property of PAUSETIV or of third parties that have granted the relevant license. Any form of distribution, modification, or public communication not expressly authorized is prohibited.
14. Modification and discontinuation of the service
14.1 PAUSETIV reserves the right to modify these Terms with 30 days' notice, to suspend or discontinue the service for just cause, and to remove Professionals from the network where they fail to meet the required standards. The User may discontinue use of the Site at any time.
15. Applicable law and competent court
15.1 These Terms are governed by Italian law. For matters not expressly governed by these Terms, reference is made, where applicable, to the provisions of the Italian Consumer Code (Legislative Decree No. 206/2005).
15.2 For the out-of-court resolution of disputes relating to the application, performance, interpretation, and breach of these Terms, the User may have recourse to Alternative Dispute Resolution (ADR) bodies through the Online Dispute Resolution (ODR) platform of the European Commission, accessible at the following link: http://ec.europa.eu/consumers/odr/.
15.3 A User resident in a European Union Member State other than Italy has the right to bring proceedings before the courts of the Member State in which they reside or are domiciled.
16. Final clauses
16.1 Pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, the following clauses are specifically approved: 1.2, 3.3, 3.4, 4.2, 4.3, 4.6, 5.1, 5.2, 5.3, 5.4, 6.1, 6.2, 7.1 a) n) p) q), 8.1, 8.2, 8.4 c), 9.1, 9.2, 9.3, 9.4, 10.1.1, 11.1.1, 11.2.1, 11.3.1, 11.4.1, 12.1, 12.2, 12.3, 12.4, 12.5, 12.6, 13.1, 13.2, 13.3, 13.4, 14.1, 15.1, 15.2, 15.3, 16.1.
